TGTHR Terms of Service

These Terms of Service ("Terms") are an agreement between you and TGTHR, Inc. ("TGTHR," "we," "us," or "our"), located at 325 N Larchmont Blvd, Suite 603, Los Angeles, CA 90004. They cover your use of tgthr.shop, our emails and text messages, and any purchase you make from us (together, the "Services").

Please read Section 17 carefully. It requires most disputes to be resolved by individual arbitration instead of in court, and it waives class actions. You can opt out of arbitration within 30 days as described in Section 17.

By using the Services or placing an order, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Services.

1. Who can use the Services

You must be at least 18 years old, or the age of majority where you live, to make a purchase or create an account. You agree that the information you give us, including your name, email, shipping address and payment details, is accurate and yours to provide.

If you create an account, keep your login details private. You are responsible for activity on your account. Tell us right away at info@tgthr.shop if you think someone else has used it.

2. Our products

We work hard to show our products accurately, including fabric weight, measurements and color. Screens and devices display color differently, and measurements on our size guide can vary slightly from garment to garment because each piece is cut and sewn. We may change product details, discontinue products or limit quantities at any time.

3. Orders

When you place an order, you are offering to buy the products in your cart. We accept your order when we ship it or send a shipping confirmation. Your order confirmation email only confirms that we received your order.

We may refuse or cancel any order, including orders that appear fraudulent, orders placed by resellers, orders that exceed quantity limits, or orders affected by a pricing or product error. If we cancel an order after you've paid, we will refund you in full.

Our products are sold for personal use, not for resale.

4. Pre-orders

Some products are sold as pre-orders. The product page will show the expected ship date, and we charge your payment method when you place the order. If we can't ship by the date we gave you, we will email you with a new date and give you the option to cancel for a full refund. You can cancel a pre-order that hasn't shipped at any time by emailing info@tgthr.shop. See our Cancellation Policy for details.

5. Prices, payment and taxes

Prices are in U.S. dollars and don't include sales tax or shipping unless stated. The price you pay is the price shown at checkout when you place your order. We may change prices at any time, and from time to time we test different prices, offers or bundles, so the price you see may differ from the price someone else sees at a different time. A price change won't affect an order we have already accepted.

If a product is listed at the wrong price because of an error, we may cancel the order and refund you, or contact you to ask whether you want to continue at the correct price.

Payments are processed by Shopify and its payment partners. We don't store your full card number.

6. Where to check out

We only take payment at checkout on tgthr.shop (Shop Pay may open a shop.app or shopify.com window) and inside the TikTok Shop app. We will never ask you to pay on another website, by phone, by text or by email. If you are ever sent to a payment page anywhere else, don't enter your details and email us at info@tgthr.shop.

7. Discount codes, promotions and gift cards

• Unless a code says otherwise, you can use one discount code per order, and codes can't be combined, exchanged for cash or applied to past orders.

• Single-use or personal codes may only be used by the person we sent them to. We may cancel codes that are shared publicly, resold or used in violation of their terms.

• Each promotion may have its own terms, such as an expiration date or minimum purchase. If they conflict with these Terms, the promotion's terms apply to that promotion.

• If you return items bought with a discount, your refund is based on the amount you actually paid.

• Gift cards don't expire and can't be redeemed for cash except where the law requires it.

8. Loyalty and rewards

If we offer a loyalty or rewards program, it is free to join and has its own terms, which we will post on our site. Points and rewards have no cash value, and we may change or end the program with notice as required by law.

9. Shipping

We currently ship to U.S. addresses only. Delivery dates are estimates and aren't guaranteed. Title to the products passes to you when we hand them to the carrier. If a package is lost, stolen or damaged in transit, email info@tgthr.shop and we will work with you and the carrier to resolve it. See our Shipping Policy for details.

10. Returns and exchanges

Returns and exchanges are covered by our Refund Policy, which is part of these Terms.

11. Text messages and emails

If you sign up for our emails, you agree to receive marketing emails from us. You can unsubscribe at any time using the link in any email.

If you sign up for our text messages, you agree to receive recurring automated marketing and cart reminder texts at the number you give us. Consent isn't a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help, or email info@tgthr.shop. Our text program is also covered by our Messaging Terms and Messaging Privacy Policy.

Emails from us come from an address ending in @tgthr.shop, or from Shopify on our behalf for order and shipping updates. Customer service emails come from info@tgthr.shop.

12. Reviews and content you share

If you post a review, photo, survey answer or other content, you confirm that it is your honest experience and that you have the right to share it. You give us a non-exclusive, royalty-free, worldwide license to use, reproduce and display that content, including your first name, last initial and any likeness in photos you submit, in connection with our business, including on our site and in marketing. We won't sell your content to anyone else. We may remove content that is unlawful, abusive, spam, or unrelated to the product.

We don't remove or suppress honest reviews because they are negative. Nothing in these Terms limits your right to share your honest opinion about TGTHR or our products. If we give you something in exchange for a review, such as a discount or free product, the review will be labeled on our site, and the reward never depends on what you say.

13. Our intellectual property

The TGTHR name and logo, TG1, HeavySoft, our product designs, photos, videos, text and site design are owned by TGTHR or our licensors and are protected by law. You may use the Services for your own personal shopping. You may not copy, sell or reuse our content or trademarks without our written permission.

14. Things you may not do

You agree not to:

• use the Services for anything illegal or fraudulent, including using a card or account you aren't authorized to use;

• scrape, crawl or copy the Services with bots or automated tools, or buy products with bots for resale;

• interfere with the Services' security, upload malicious code, or try to access accounts, systems or data that aren't yours;

• impersonate TGTHR or anyone else, or send messages that pretend to come from TGTHR;

• abuse promotions, returns or chargebacks.

We may suspend or close accounts, cancel orders or block access if you break these rules.

15. Disclaimers

Our products come with the warranties the law provides, and nothing in these Terms limits them. Our website, apps and messages (not our products) are provided "as is" and "as available," and to the extent the law allows, we disclaim all other warranties about them, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don't promise that the Services will always be available, error free or free of harmful code. Some states don't allow these disclaimers, so they may not apply to you.

16. Limits on our liability

To the extent the law allows, TGTHR and its officers, employees and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising from the Services or products. Our total liability for any claim related to the Services or products is limited to the greater of (a) the amount you paid us for the order that the claim relates to, or (b) $100.

These limits don't apply to liability that can't be limited by law, including liability for our fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence. They also don't limit any rights you have under consumer protection or data privacy laws that can't be waived by contract.

17. Resolving disputes: arbitration and class action waiver

Talk to us first. Most problems can be solved quickly by emailing info@tgthr.shop. Before starting a formal claim, you and we each agree to send the other a written notice describing the dispute and the relief requested, and to try in good faith to resolve it for 60 days. For us, send notices to info@tgthr.shop or to our mailing address above. For you, we will use the contact information we have on file. Deadlines to file claims are paused during this 60-day period.

Arbitration. If we can't resolve it, you and TGTHR agree that any dispute arising from these Terms, the Services or any product will be resolved by binding individual arbitration under the Federal Arbitration Act, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (available at adr.org). Arbitration can be held by video or, if you prefer, in the county where you live. The arbitrator can award the same individual relief a court could. If you start arbitration, your filing fee is limited to what you would pay to file in court, and we will pay the rest of the administrative and arbitrator fees, on time, unless the arbitrator finds your claim was frivolous.

Exceptions. Either of us may bring an individual claim in small claims court. Either of us may also go to court for injunctive relief against infringement or misuse of intellectual property.

Public injunctive relief. Claims for public injunctive relief will be decided by a court after any individual arbitration ends, and the court case will be paused until then.

No class actions. You and TGTHR agree to bring claims only on an individual basis, not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not combine claims of more than one person. If this class waiver is found unenforceable for a claim, that claim will go to court, not arbitration.

Mass filings. If 25 or more similar claims are filed by or with the help of the same law firm or group, they will be administered under the AAA's Mass Arbitration Supplementary Rules.

Your right to opt out. You can opt out of this Section 17 by emailing info@tgthr.shop within 30 days after you first agree to these Terms, with your name, email and the statement "I opt out of arbitration." Opting out won't affect any other part of these Terms.

When this applies. This Section 17 applies to disputes about events that happen on or after the "Last updated" date above. Disputes about earlier events are governed by the terms that were in effect when they happened.

Changes. If we change this Section 17 in the future, you can reject the change by emailing us within 30 days, and the version you last agreed to will continue to apply.

18. Governing law

These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict of law rules. For any dispute that goes to court, you and we agree to the state and federal courts located in Los Angeles County, California, except where the law of your state gives you the right to sue where you live.

19. Shopify and other providers

Our store is hosted by Shopify. Your purchase is made with TGTHR, not Shopify, and Shopify is not responsible for our products or sales. Some features on our site are provided by other companies, and your use of them may also be subject to their terms.

20. Changes to these Terms

We may update these Terms from time to time. We will post the new version here and change the "Last updated" date. If a change is material, we will give notice on our site or by email. Changes apply going forward, and your orders are governed by the Terms in effect when you placed them.

21. Other terms

These Terms, together with the policies they link to, are the entire agreement between you and TGTHR about the Services. If any part is found unenforceable, the rest stays in effect. If we don't enforce a part of these Terms right away, we can still enforce it later. You may not transfer these Terms to anyone else. We may transfer them as part of a merger, sale or reorganization.
